By accessing or using Drip ("the Service"), operated by Drip ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Drip is a software-as-a-service platform that analyzes contracts and invoices to identify potential revenue leakage. The Service uses artificial intelligence to extract billing terms from uploaded documents, compare them against invoices, and generate reports highlighting discrepancies.

The Service is provided for informational purposes only and does not constitute legal, financial, or accounting advice. You should independently verify all findings before taking action.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate and complete information during registration, maintain the security of your account credentials, and promptly notify us of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

4. Subscription Plans and Payment

The Service offers tiered subscription plans with varying scan limits. By subscribing to a paid plan, you agree to pay the applicable fees. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law.

We reserve the right to modify pricing with 30 days' notice to active subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Upload documents you do not have the right to analyze or share
  • Use the Service to process documents containing illegal content
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
  • Circumvent scan limits, rate limits, or other usage restrictions
  • Use automated tools to scrape or bulk-access the Service
  • Resell or redistribute the Service without written permission

6. Document Handling and Data

Documents you upload are processed to extract billing terms and generate reports. We do not claim ownership of your uploaded documents. See our Privacy Policy for details on how we handle, store, and protect your data.

7. AI-Generated Results

The Service uses artificial intelligence to analyze documents. While we strive for accuracy, AI-generated results may contain errors, omissions, or misinterpretations. You acknowledge that:

  • Results are provided "as-is" and should be verified independently
  • The Service does not replace professional legal or financial review
  • We are not liable for business decisions made based on AI-generated findings

8. Intellectual Property

The Service, including its design, code, AI models, and documentation, is owned by Drip and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Drip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may cancel your subscription at any time through your account dashboard. Upon termination, your right to use the Service ceases immediately. We may delete your data within 30 days of account termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify active users of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
